BY PARTICIPATING IN THE GIVEAWAY SWEEPSTAKES, EACH ENTRANT UNCONDITIONALLY ACCEPTS AND AGREES TO COMPLY WITH AND ABIDE BY THESE OFFICIAL RULES AND WITH THE DECISIONS OF ACCENTHEALTH, A DIVISION OF ASCENT MEDIA GROUP, CANS LLC. (“SPONSOR”), WHOSE DECISIONS SHALL BE FINAL AND BINDING IN ALL RESPECTS.

1. Eligibility: To be eligible to enter, you must: (i) be employed as a media professional (ii) be a legal resident of the United States, and (iii) be eighteen (18) years or older at the time of entry. Employees and representatives of Sponsor, its respective parents, affiliates, agents, subsidiaries, advertising and promotional agencies, any prize provider, and any entity involved in the development, production, implementation, administration or fulfillment of the Giveaway Sweepstakes, and their immediate family members and persons living in the same household, are not eligible to participate or win. Sponsor reserves the right to verify eligibility at any time.

2. How To Enter: The Giveaway Sweepstakes begins on April 24, 2008, 12:01 am Eastern Standard Time (EST) and ends on May 30, 2008, 11:59:59 am (EST). ("Promotional Period"). You may enter the Giveaway Sweepstakes online by visiting AccentHealth at http://www.accenthealthmedia.com/YFN.shtml or by mail by filling out an index card with name, company name, brand, e-mail address and telephone number and mailing entry to: AccentHealth “Raising Natalie” Giveaway Sweepstakes, c/o Debra Harris, AccentHealth, 747 Third Avenue, Floor 14, New York, NY 10017. Online entrants must register providing their first and last name, company name, brand and e-mail address. Repeat entrants can re-enter by providing their e-mail address. Upon doing this, the required fields will automatically be populated with prior-given information. THERE IS NO COST ASSOCIATED WITH REGISTRATION. All entries must be received by expiration of the Promotional Period.

ONLY ONE ENTRY PER PERSON AND/OR E-MAIL ADDRESS PER BUSINESS DAY OF THE PROMOTIONAL PERIOD, REGARDLESS OF THE METHOD OF ENTRY. Persons may enter between the hours of 12:01 a.m. ("Opening Hour") and 11:59 p.m. ("Closing Hour") each business Day (Monday-Friday) during the Promotional Period (each, a "Day"). Limit one entry per person and/or per e-mail address per Day. Multiple entries from the same person and/or e-mail address in a single Day shall count as one entry. Entries will not be carried over to the next Day; each person must re-enter each Day to be considered for that Day's drawing. Sponsor will select the winner(s) on or about 48 hours after the Closing Hour of each applicable Day. For example, a potential winner for Day 1 will be selected on or about Day 3, from among all eligible entries received by Sponsor during the period from Opening Hour to Closing Hour on Day 1. Mail in entries will be included in the drawing for the Day received. Automated entries including, copies, third party entries, facsimiles and/or mechanical reproductions are not permitted and shall be disqualified. Only eligible entries actually received by Sponsor before the end of the specified entry period will be included in the prize drawings. Illegible, unintelligible, incomplete, garbled, or mutilated entries will be disqualified. All entries become the property of Sponsor, and none will be acknowledged or returned.

3. Conduct: The Official Rules will be posted at the Giveaway Sweepstakes web site during the Promotional Period, and will be available by mail (See number 10, below). Failure to comply with these Official Rules may result in disqualification from the Giveaway Sweepstakes. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be: (a) tampering or attempting to tamper with the entry process or the operation of the Giveaway Sweepstakes or any AccentHealth Web site; (b) violating these Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Sponsor property or service; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

4. Prizes/Odds: A 32" Flat Panel TV will be awarded as a grand prize with a retail value of $2000 (U.S. dollars). In addition, one Starbucks gift card of $20 will be available each business Day during the Promotional Period, for a total of 27 Starbucks gift certificates available during the Promotional Period. (Total Approximate Retail Value: $540.00 U.S. dollars). Odds of winning a prize depend on the number of eligible entries received. The Giveaway Sweepstakes is not affiliated with or endorsed by Starbucks.

Limit one gift card per person and/or household per business Day. Prizes may not be transferred or assigned. Only listed prizes will be awarded and no substitutions, cash equivalents or redemptions will be made, though Sponsor reserves the right to substitute any prize with another prize of equal or greater value in the event that the advertised prize (or any component thereof) is not available. Expenses not specifically provided for herein are solely the responsibility of the applicable prize winner. Each prize winner is responsible for the reporting and payment of all applicable taxes, fees, and/or surcharges, if any, arising out of, or resulting from, acceptance or use of a prize. Restrictions, conditions, and limitations may apply. Winning a daily Starbucks gift card does not make entrant ineligible to win the 32" Flat Panel TV. Sponsor will not replace any lost or stolen prize items. Prizes will be delivered only to an address in the Territory. In the event Sponsor agrees, in its sole discretion, to deliver a prize to an address outside the Territory, the winner of such prize shall be solely responsible for paying all shipping and other costs associated with such delivery.

5. Winner Selection and Notification: Potential winners of the Starbucks gift card will be selected in a random drawing conducted on or about 48 hours of the Closing Hour of each business Day. Winners will be notified using the e-mail address and other information provided at the time of entry within 5 business Days of their entry. Sponsor is not responsible if any potential winner notification is not received for any reason. Entrants are solely responsible for notifying Sponsor of any e-mail address change.

The winner of the Flat Panel TV will be notified within fourteen (14) days after the expiration of the Promotion Period. Each prize winner may be required to sign and return an Affidavit of Eligibility and, where legal, Publicity Release and provide any additional information (such as taxpayer ID number), that may be required by Sponsor. Potential winners must return all such required documents within twenty-one (21) days following attempted notification or such potential winner will be deemed to have forfeited the prize. Return of any prize/prize notification as undeliverable, ability of Sponsor to contact a potential winner, or failure by any potential winner to return the required documentation within the stated time period will result in disqualification. Prizes will be awarded within approximately eight (8) weeks after Sponsor has received receipt by a prize winner’s final prize acceptance documents.

6. General Conditions: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of the participant or Sponsor in connection with the Giveaway Sweepstakes shall be governed by and construed in accordance with the internal laws of the United States and the State of New York without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s or country's laws. By participating in this Giveaway Sweepstakes, entrants signify their consent to these choice of law provisions.

By entering, participants release and hold harmless Sponsor, and its respective parents, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the Giveaway Sweepstakes (including but not limited to the receipt, use or misuse of any prize or any component thereof). Each verified winner hereby agrees and grants Sponsor the right, but not the obligation, to the use of her or his name, voice, and likeness, along with her or his address (city and state) and any statements made or attributed to such winner (collectively, "Attributes") in any and all media, now known or hereafter devised, without notice, review or approval, in perpetuity and throughout the universe for advertising and promotional purposes in connection with the Giveaway Sweepstakes and other promotions without further compensation, and releases Sponsor from all claims arising out of the use of such Attributes. In the event that any provision of these Official Rules is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

7. Limitations of Liability: Sponsor assumes no responsibility or liability for the following: (a) lost, late, misdirected, illegible, or mutilated entries or for any computer, online, telephone or technical malfunctions that may occur; (b) any incorrect or inaccurate information, whether caused by website users, any of the equipment or programming associated with or utilized in the Giveaway Sweepstakes, or any technical or human error which may occur in the processing of submissions in the Giveaway Sweepstakes; (c) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; (d) any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing; (e) any injury or damage to participants or to any computer related to or resulting from participating or downloading materials in this Giveaway Sweepstakes; or (f) any use, misuse or inability to use the prize awarded, which use shall be subject solely to the terms of any warranty offered by the manufacturer of such prize. If, for any reason, the Giveaway Sweepstakes is not capable of running as planned, including because of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, force majeur, or any other cause beyond the control of Sponsor which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Giveaway Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Giveaway Sweepstakes and select winners from among all eligible, non-suspect entries received prior to the cancellation (if any).

8. Privacy: By entering the Giveaway Sweepstakes, you agree to Sponsor's use of your personal information in accordance with online privacy restrictions.

9.
